The Board of Directors for the Third Term of Beijing OMNIVISION Technologies Co., Ltd. (the “Company”) held a meeting pursuant to the provisions of the Company Law and the Articles of Association of the Company to appoint the General Manager and Chief Executive Officer in the due procedure. Based on review by the Nomination Committee of the Board of Directors concerning the qualifications of the candidate for the General Manager and CEO, the General Manager and CEO of the Company shall be Mr. Yu Renrong. The candidate has given his consent.
Upon consideration of the Review and Recommendation by the Nomination Committee of the Board of Directors with respect to Mr. Yu Renrong’s acting as the General Manager and CEO, the Board of Directors of the Company has resolved and appointed Mr. Yu Renrong to act as the General Manager and Chief Executive Officer of the Company, with the authority and responsibility over the Company’s daily operations.
